Terms of Service
Last updated:
The rules for using Struad as a streamer, a brand or a donor. Please read them: by using Struad you agree to them.
1. About these terms
These terms are an agreement between you and Struad (the “Service”), operated by the Struad team (“Struad”, “we”, “us”). They apply when you visit struad.com or app.struad.com, create an account, or use any part of the Service.
These documents are part of these terms:
- the Escrow & Payments Terms, for deals, donations and goals;
- the Advertising Policy, for ads arranged through Struad.
If these terms and the Escrow & Payments Terms disagree about money, the Escrow & Payments Terms apply. How we handle personal data is explained in the Privacy Policy.
If you do not agree to these terms, do not use the Service.
2. Who can use Struad
You must be 18 or older to use Struad in any role: as a streamer, as a brand, or as a donor or viewer. You must also be able to enter into a binding contract.
If you use Struad for a company, you confirm that you may act for it. Then “you” means both you and the company.
You are responsible for following the laws that apply to you, both where you live and where you use the Service. That includes the laws on advertising, gambling, crypto assets and taxes. We do not block any country, so it is up to you to check that you may use Struad, a crypto wallet and USDC where you are.
3. Accounts
Streamers
You sign up and sign in with your Twitch or Kick account. There is no separate Struad password. To become Verified, you connect your account again and give Struad the extra read permissions that the platform shows you.
Brands
You sign up with your company name, a work email address and a password, and confirm the address with a code we email you. We do not accept personal email domains for brand accounts.
Everyone
- Give us accurate information and keep it up to date.
- Keep your sign-in safe. You are responsible for what happens under your account. If you think someone else has used it, write to [email protected].
- Do not create an account in someone else’s name or for a channel or company you do not control.
4. What Struad does
Struad is a marketplace that connects Twitch and Kick streamers with brands. It offers:
- a catalogue of channels with analytics, built from public stream data;
- listings, requests and deals between brands and streamers;
- non-custodial USDC escrow for deals, on the Solana blockchain;
- donation pages, stream alerts and stream goals for streamers;
- a referral program for streamers.
Struad is not a party to the agreement between a brand and a streamer. We provide the tools, and an arbiter for disputes about escrowed payments (see the Escrow & Payments Terms). Struad does not employ streamers and does not act as anyone’s agent.
We may change, add or remove features.
5. Acceptable use
When you use Struad, you must not:
- fake or inflate viewers, followers, subscribers, chat or any other engagement, use view-bots, follow-bots or chat-bots, or buy such services;
- try to manipulate the analytics, for example with fake viewers, followers or chat;
- circumvent the platform, for example by using Struad to find a partner and then moving the deal elsewhere to avoid the escrow or the fee;
- post or promote anything illegal, deceptive or fraudulent, or anything that infringes someone else’s rights;
- impersonate a person, a brand or a channel;
- harass, threaten or abuse anyone, including through deal messages, support chats or requests;
- use donation names or messages, or text-to-speech, for abuse: no harassment, hate speech, threats, sexual content, other people’s personal information, spam, or links to scams. Donation names and messages appear on stream and may be read aloud;
- use Struad for money laundering, fraud, sanctions evasion or any other financial crime;
- send spam or unsolicited bulk messages through the Service;
- scrape the Service, overload it, probe or bypass its security or limits, or interfere with other users.
Ads have their own rules in the Advertising Policy.
6. Listings, requests and deals
- Streamers can publish listings: ad placements on their channel, with a price. Brands can book a listing or send a request to a channel. Both sides can agree the terms in Struad.
- Each listing, request and deal has a minimum amount, which the form shows.
- A deal is formed when the streamer accepts the terms. The brand then pays the agreed amount into the on-chain escrow. Payment, release, disputes and fees are covered in the Escrow & Payments Terms.
- Before the brand pays, either side can cancel the deal, and the streamer can decline it. Once the brand has paid, the deal can no longer be cancelled. It ends with the brand releasing the payment, or with a dispute that the arbiter decides.
- The brand is responsible for the content and legality of its ad. The streamer is responsible for delivering as agreed, following the platform’s rules and disclosing the ad. See the Advertising Policy.
- Messages and files you exchange in a request or a deal are stored. The other party sees them, and so does our team when it runs the Service, handles a dispute or answers support.
- We may decline, pause or remove a listing, a request or a deal. This never moves money that is already in escrow: those funds follow the escrow rules.
7. Donations and goals
- Anyone aged 18 or older with a Solana wallet can donate to a streamer on the streamer’s donation page. You do not need an account.
- A donation is a gift to the streamer. It goes from your wallet straight to the streamer’s wallet, minus the platform fee, in one transaction that you sign. Struad never holds it, and Struad cannot refund or reverse it. Only the streamer can choose to send money back.
- A donation does not buy goods, services or any control over the stream.
- The name and message you enter are public. They appear on the donation page and in the stream’s alert, and they may be read aloud by text-to-speech.
- Goals are all or nothing. If a goal does not reach its target by the deadline, or the streamer calls it off, every backer is refunded in full and no fee is taken. If it succeeds, the streamer receives the funds minus the fee.
- Streamers are responsible for any taxes on the donations and goals they receive.
8. Referral program
- Streamers can share a personal referral link. If another streamer signs up through it, you earn a share of the platform fees Struad receives from that streamer. Today the share is 10% for six months from their sign-up.
- Each referral keeps the terms that applied when the referred streamer signed up. If we change or end the program, the change applies to new referrals.
- Earnings are worked out from the fee records on the blockchain and listed in a monthly statement. We pay by hand, from our wallet to your wallet, once your earnings reach the minimum payout. If we decline a line of a statement, we tell you why.
- Self-referrals, fake accounts and other abuse are not allowed. We may withhold earnings that came from abuse.
9. Twitch, Kick, wallets and the blockchain
Twitch, Kick, the Solana network and wallet apps are run by third parties. Struad does not control them, and their own terms apply when you use them. You must follow the rules of Twitch or Kick for your channel.
If a third party changes or stops a service that Struad relies on, for example a platform API, parts of Struad may stop working.
10. Your content and our rights
You keep the rights to what you upload or write: listing texts, your brand logo and profile, messages, alert images and sounds, and so on. You give Struad a worldwide, non-exclusive, royalty-free licence to host, copy, display and process that content as far as needed to run and improve the Service. For example, we show your brand profile to streamers and your listings to brands. The licence ends when you delete the content or your account, except for copies we must keep (see the Privacy Policy).
You confirm that you have the right to upload what you upload, and that it breaks no law.
The Struad name and logo, the software and the design belong to Struad. You may use the Service, but these terms give you no other rights in it.
11. Analytics
The catalogue and its analytics are built from public data from Twitch and Kick. Analytics are estimates worked out automatically from public data, not findings of fact. They can be wrong, incomplete or out of date. They do not guarantee the quality of an audience or the result of any ad.
Make your own decisions. If you think the data about your channel is wrong, write to [email protected].
12. Suspension and termination
You can stop using Struad at any time and delete your account under Settings, or ask us to by writing to [email protected].
We may suspend or close an account, remove its verification, remove its listings or requests, or stop a brand from sending requests:
- if you break these terms or the law;
- if we must do so by law;
- to protect other users, the public or the Service.
None of this moves your on-chain funds. Money in a deal’s escrow still follows the escrow rules, and money in your wallet stays yours.
The sections on content, disclaimers, liability, indemnity and the law survive the end of these terms.
13. Disclaimers
The Service is provided “as is” and “as available”. As far as the law allows, we give no warranties, express or implied. That includes warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted or error-free service.
We do not guarantee that a deal will be delivered, that a brand or a streamer will keep its promises, or that an ad will bring any result. Blockchain payments carry their own risks, which the Escrow & Payments Terms describe.
Nothing on Struad is financial, investment, legal or tax advice.
14. Limitation of liability
As far as the law allows:
- Struad is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill;
- Struad is not liable for losses caused by the blockchain, smart contracts, wallets, lost or stolen keys, network failures, or services run by third parties such as Twitch, Kick and wallet apps;
- Struad’s total liability for all claims is limited to the fees you paid Struad in the 12 months before the claim, or US$100, whichever is greater.
Nothing in these terms limits liability that the law does not allow us to limit, such as liability for fraud or for death or personal injury caused by negligence, or your rights as a consumer.
15. Indemnity
If someone makes a claim against Struad because of your content, your ads, your stream, or your breach of these terms or of the law, you agree to cover Struad’s resulting losses and reasonable costs, including legal fees, as far as the law allows.
16. Changes to these terms
We may change these terms. We will post the new version on this page with a new “Last updated” date. If a change is significant, we will also tell account holders by email or in the app before it takes effect. If you keep using Struad after a change takes effect, you accept the new terms.
17. Applicable law and disputes
If you have a problem with Struad, please write to [email protected] first, so that we can try to solve it.
These terms do not take away any rights you have under the mandatory law of the country where you live.
18. General
- These terms and the documents they name are the whole agreement between you and Struad about the Service.
- If a part of these terms cannot be enforced, the rest still applies.
- If we do not enforce a right at once, we have not given it up.
- We may transfer these terms to whoever takes over the Service. You may not transfer them without our consent.
- These terms are written in English, and the English text is the one that applies.
19. Contact
For anything about these terms, write to [email protected].
